Software License Agreement (EULA)

End User License Agreement

This End User License Agreement (“Agreement” or “EULA”) is a legal agreement between you (“Customer,” “User,” “you,” or “your”) and [bankwp.com], operator of BankWP (“BankWP,” “we,” “us,” or “our”), governing your download, installation, activation, access to, and use of software products distributed through BankWP.com.

This Agreement applies to BankWP software products, including WordPress plugins, WooCommerce plugins, premium extensions, software tools, downloadable software, and related licensed products unless a specific product is expressly governed by separate license terms.

By purchasing, downloading, installing, activating, accessing, or using BankWP software, you agree to this EULA.

If you do not agree to these terms, you must not install, activate, or use the software.

1. License Grant

Subject to your compliance with this Agreement and payment of all applicable fees, BankWP grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the purchased software according to the license plan associated with your purchase.

The software is licensed, not sold.

Your purchase does not transfer ownership of the software, BankWP technology, trademarks, documentation, proprietary systems, or other intellectual property to you.

2. License Plans

BankWP software may be sold under different license plans.

Depending on the product purchased, a license may permit use on:

One website
A specified number of websites
Multiple websites
A specified number of customer websites
Another number of installations expressly identified on the product page or at checkout

The applicable activation limit is determined by the license purchased.

You may not exceed the number of authorized activations associated with your license.

3. License Keys

Certain BankWP products require a valid license key.

Your license key is provided for your authorized use and must be kept secure.

You may not:

Publish your license key
Post it publicly
Share it with unauthorized users
Sell the key separately
Rent or lease the key
Give unauthorized third parties access to the key
Use the key beyond its permitted activation limit
Attempt to generate unauthorized BankWP license keys

You are responsible for activity associated with license keys issued through your BankWP account.

If you believe a license key has been compromised, you should contact BankWP Support.

4. License Activation

BankWP software may communicate with BankWP licensing servers to activate and validate a license.

License validation may process information reasonably necessary to operate the licensing system, including:

License key
Product identifier
Product version
Website domain
Website URL
Activation status
Activation date
License expiration date
Number of authorized activations
WordPress version
WooCommerce version where applicable
PHP version or related environment information
IP address or security information where reasonably necessary

This information may be used to validate licenses, provide updates, prevent abuse, enforce activation limits, and provide technical support.

5. Activation Limits

Each license may have a maximum number of simultaneous website activations.

For example, if a license permits use on one website, it may not be simultaneously activated on multiple production websites.

If your license allows multiple websites, the number of active installations must remain within the limit associated with the purchased license.

Additional licenses or a license upgrade may be required for additional websites.

6. Development and Staging Websites

Where technically supported, BankWP may permit reasonable use of a license on development, staging, or testing environments associated with an authorized production website.

Whether a staging installation counts toward the activation limit may depend on the applicable product and licensing configuration.

This provision does not authorize unlimited production use.

7. License Transfers Between Websites

Where supported by the applicable product, you may deactivate a license from one website and activate it on another website, provided:

You are authorized to use both websites.
The license is not simultaneously used beyond its activation limit.
The transfer is not being used to rent, resell, sublicense, or distribute access to the software.

BankWP may implement reasonable technical controls to prevent excessive or abusive activation transfers.

8. License Duration

The duration of your license depends on the plan purchased.

BankWP may offer:

Time-limited licenses
Annual licenses
Multi-year licenses
Lifetime licenses
Other license periods identified at purchase

A license with a fixed term may expire at the end of the purchased license period unless renewed.

9. Lifetime Licenses

If a BankWP product is expressly sold with a “Lifetime License,” lifetime refers to the lifetime of the applicable software product, not the lifetime of the customer, company, WordPress platform, or any individual.

A lifetime license does not guarantee that a product will be developed, maintained, supported, updated, or commercially available indefinitely.

BankWP may discontinue a product where reasonably necessary.

Any mandatory rights provided by applicable law remain unaffected.

10. Software Updates

Access to software updates depends on the update entitlement included with your purchase.

Update periods may include:

30 days
6 months
12 months
24 months
Lifetime updates
Another period expressly identified at purchase

While your update entitlement is active, you may receive eligible updates made available for your product.

Updates may include:

Bug fixes
Security improvements
Compatibility improvements
Performance improvements
New features
Interface improvements
Other product modifications

BankWP does not guarantee that every update will contain new features.

11. Expired Update Entitlements

If your update entitlement expires, your installed software may continue to operate where technically possible and permitted by the applicable license.

However, you may lose access to:

New versions
Automatic updates
Compatibility updates
Security updates
New features
Certain download services
Other update-related benefits

Continued use of outdated software may create compatibility or security risks.

BankWP is not responsible for problems resulting from continued use of obsolete or unsupported versions.

12. Technical Support

Technical support is provided according to the support entitlement included with your license or product.

Support periods may include:

No support
30 days
6 months
12 months
24 months
Lifetime support
Another period specified at purchase

Support generally covers reasonable assistance with installation, activation, configuration, documented features, and verified problems directly related to BankWP software.

13. Support Exclusions

Unless expressly included in your plan, BankWP support does not include:

Custom website development
Custom plugin development
Custom theme development
Server administration
Hosting administration
Repair of unrelated plugins
Repair of unrelated themes
Malware removal
Website recovery
Third-party API support
Custom integrations
General WordPress training
General WooCommerce administration

Such services may be available separately.

14. Authorized Use

You may use BankWP software for lawful purposes consistent with the functionality of the applicable product and the license purchased.

Where permitted by your license, you may use the software on websites that you own or manage.

Agency, developer, or multi-site licenses may include additional permitted uses as described on the applicable product page.

15. Prohibited License Sharing

A BankWP license may not be shared among unrelated users or organizations for the purpose of avoiding the purchase of additional licenses.

You may not operate a public license-sharing service, activation service, license rental service, or similar system using BankWP license keys.

16. Resale and Redistribution

Unless BankWP expressly authorizes it in writing or the applicable open-source license legally requires otherwise, you may not commercially redistribute BankWP’s proprietary package, branding, license credentials, update access, support access, or other proprietary components as a competing or standalone BankWP product.

You may not:

Sell BankWP license keys without authorization
Rent BankWP license keys
Offer unauthorized subscriptions providing access to BankWP software
Redistribute paid downloads through public repositories
Upload paid BankWP products to unauthorized download websites
Provide unauthorized public access to premium BankWP downloads
Represent yourself as an authorized BankWP reseller without permission

Nothing in this section is intended to restrict rights that cannot legally be restricted under an applicable open-source license.

17. WordPress and Open-Source Components

Certain BankWP software may operate within WordPress or incorporate components governed by open-source licenses, including the GNU General Public License (“GPL”) or other licenses.

Nothing in this EULA is intended to remove or restrict rights expressly granted to you under an applicable open-source license.

Where a BankWP product contains components governed by different licenses, those components remain subject to their applicable licenses.

However, BankWP’s trademarks, branding, license keys, licensing infrastructure, hosted services, customer accounts, support services, update services, documentation, proprietary media, and other separately protectable materials remain subject to their applicable rights and restrictions.

18. Intellectual Property

BankWP and its licensors retain all rights, title, and interest in and to their respective intellectual property.

This may include:

BankWP trademarks
Product names
Logos
Branding
Website content
Documentation
Graphics
Designs
Proprietary licensing technology
Hosted services
Databases
Update infrastructure
Support materials
Other protectable intellectual property

Your license grants usage rights only as described in this Agreement.

19. Modifications

To the extent permitted by applicable licenses and law, you may modify software components for your own authorized use.

However, BankWP is not obligated to provide technical support for modified versions of its products.

Modifying a product does not grant ownership of BankWP trademarks, licensing services, proprietary branding, hosted infrastructure, or other separately protected BankWP assets.

Problems caused by customer modifications may fall outside BankWP’s support obligations.

20. Reverse Engineering and Security Circumvention

Except where expressly permitted by applicable law or an applicable open-source license, you may not circumvent, disable, interfere with, or defeat technological measures designed to:

Validate licenses
Enforce activation limits
Authenticate access to hosted services
Protect customer accounts
Prevent unauthorized downloads
Protect BankWP infrastructure

Nothing in this section restricts rights that applicable law expressly prohibits us from restricting.

21. Unauthorized or “Nulled” Versions

BankWP does not authorize or support software distributed through unauthorized “nulled,” cracked, pirated, or modified download sources.

Unauthorized versions may:

Contain malicious code
Contain modified code
Lack security updates
Lack compatibility updates
Fail license validation
Compromise website security
Expose customer information
Damage websites or databases

BankWP is not responsible for damages caused by unauthorized versions of its products.

22. Compatibility

BankWP makes reasonable efforts to maintain compatibility with supported technology identified in the applicable product documentation.

However, we cannot guarantee compatibility with every:

WordPress version
WooCommerce version
PHP version
WordPress theme
WordPress plugin
WooCommerce extension
Hosting provider
Web server
Security configuration
Third-party API
Custom codebase

Customers should review applicable requirements before purchasing or installing software.

23. Third-Party Changes

BankWP software may depend on or interact with third-party platforms and technologies.

These may include WordPress, WooCommerce, hosting providers, APIs, payment services, browsers, themes, plugins, and other software.

Third parties may modify or discontinue their products without BankWP’s control.

BankWP does not guarantee perpetual compatibility with third-party products or services.

24. Backups

You are responsible for maintaining appropriate backups before installing, updating, modifying, configuring, or removing BankWP software.

We strongly recommend maintaining current backups of:

Website files
WordPress databases
WooCommerce information
Configuration files
Custom code

Where practical, software updates should first be tested in a staging environment.

25. Product Changes

BankWP may improve or modify software over time.

Features may be:

Added
Improved
Redesigned
Replaced
Deprecated
Removed

We may make reasonable changes necessary for security, performance, compatibility, legal compliance, usability, or product development.

26. Product Discontinuation

BankWP reserves the right to discontinue software products when reasonably necessary.

If a product is discontinued, availability of future updates, downloads, support, and hosted services may eventually end.

Where appropriate, BankWP may provide reasonable notice of material discontinuation.

27. License Suspension

BankWP may suspend or restrict a license where reasonably necessary because of:

Fraud
Fraudulent payment activity
Unauthorized license distribution
Excessive activation abuse
Unauthorized resale
Security threats
Attempts to compromise BankWP systems
Material violation of this EULA
A valid refund or reversal of the applicable purchase

Where appropriate, BankWP may provide an opportunity to resolve the issue.

28. License Termination

Your rights under this EULA may terminate if you materially violate this Agreement.

Upon termination, you must cease unauthorized use of the software and associated BankWP services.

Termination may also result in loss of access to:

License activation
Automatic updates
Premium downloads
Technical support
Hosted BankWP services
Customer-only resources

Termination does not eliminate rights that cannot legally be terminated under an applicable open-source license.

29. Refunds

Purchases and refunds are governed by the BankWP Refund Policy.

If a software purchase is refunded, the associated BankWP license key and access to related premium services may be canceled or deactivated.

After receiving a refund, you must discontinue any use that depends upon the refunded commercial license or associated BankWP services.

30. Account Security

You are responsible for protecting your BankWP account credentials and license keys.

You should not provide account credentials to unauthorized third parties.

BankWP may take reasonable measures to protect accounts from suspected unauthorized access.

31. Privacy

Information processed through BankWP’s licensing, account, download, support, and update systems is handled according to the BankWP Privacy Policy and applicable law.

32. Disclaimer of Warranties

To the maximum extent permitted by applicable law, BankWP software and related services are provided on an “as is” and “as available” basis.

BankWP does not warrant that:

Software will operate without interruption.
Software will be completely error-free.
Every third-party product will remain compatible.
Every feature will satisfy every customer’s individual requirements.
All future versions of WordPress or WooCommerce will remain compatible with every BankWP product.

Nothing in this Agreement excludes warranties or rights that cannot legally be excluded.

33. Limitation of Liability

To the maximum extent permitted by applicable law, BankWP and [bankwp.com] will not be liable for indirect, incidental, special, consequential, exemplary, or similar damages arising from the installation, use, inability to use, or modification of BankWP software.

This may include loss of:

Revenue
Profits
Business opportunities
Website availability
Data
Customer transactions
Search rankings
Productivity

You are responsible for maintaining backups and appropriately testing software before deploying it to production websites.

Where liability cannot legally be excluded, liability will be limited to the maximum extent permitted by applicable law.

34. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless BankWP, [bankwp.com], and their applicable officers, employees, contractors, and agents from claims, liabilities, damages, or expenses resulting from your unlawful use of BankWP software, violation of this EULA, or infringement of third-party rights.

35. No Transfer of Ownership

Purchasing BankWP software does not transfer ownership of BankWP itself or any proprietary intellectual property associated with BankWP.

You receive only the applicable usage and service rights granted under this Agreement and any applicable open-source license.

36. Assignment and Transfer

You may not sell or transfer a BankWP customer account, commercial license key, update entitlement, or support entitlement to an unrelated third party without BankWP’s authorization, except where such a restriction is prohibited by applicable law.

BankWP may assign its rights and obligations as part of a legitimate merger, acquisition, restructuring, sale of assets, or similar business transaction.

37. Governing Law

This Agreement shall be governed by the laws applicable to [bankwp.com], without limiting mandatory consumer rights or other protections that may apply under applicable law.

Disputes shall be handled by courts or other dispute-resolution forums with appropriate jurisdiction unless applicable law requires otherwise.

38. Severability

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

39. Changes to This Agreement

BankWP may update this EULA when reasonably necessary because of changes to our products, licensing systems, business practices, technology, or applicable legal requirements.

The current version will be published on BankWP.com with an updated “Last Updated” date.

Changes will apply subject to applicable contractual and legal requirements.

40. Entire Agreement

This EULA, together with applicable product-specific license terms and incorporated BankWP policies, constitutes the agreement governing your commercial license and related use of BankWP software.
